Please read these Terms of Service carefully before using the Veris Health platform. These Terms constitute a legally binding agreement between you and Veris Health, Inc. governing your access to and use of our services.

Important Notice: Veris Health is Not a Medical Service

Veris Health is a personal health data platform, not a medical device or healthcare provider. Nothing on this platform constitutes medical advice, diagnosis, or treatment. Always consult a licensed healthcare provider before making any health decisions. In case of a medical emergency, call 911 or your local emergency services immediately.

1.Acceptance of Terms

By accessing or using the Veris Health website, mobile application, application programming interfaces (APIs), or any other service operated by Veris Health, Inc. (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all visitors, registered users, and others who access or use the Service. By creating an account, you represent and warrant that you have read, understood, and agree to be bound by these Terms in their entirety.

Age Requirement

You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement. Veris Health does not knowingly permit minors to use the Service and does not knowingly collect personal information from individuals under the age of 18. If we become aware that a user is under the age of 18, we will terminate their account and delete their data promptly.

Account Creation as Acceptance

Creating an account with Veris Health constitutes your express acceptance of these Terms and all policies referenced herein. If you are using the Service on behalf of an organization or entity, you represent and warrant that you are authorized to bind that organization to these Terms, and "you" and "your" shall refer to both you as an individual and that organization.

Electronic Agreement

You acknowledge that your acceptance of these Terms by electronic means (including by clicking a checkbox, creating an account, or continuing to use the Service after being presented with updated Terms) is legally equivalent to a handwritten signature and is fully enforceable under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state electronic signature laws.

2.Description of Service

Veris Health provides a personal health data aggregation and intelligence platform (the "Platform") designed to help individuals gain a comprehensive understanding of their health. Our core services include:

Health Data Aggregation and Visualization

The Platform allows you to consolidate health data from multiple sources, including wearable devices, uploaded laboratory results, and nutrition tracking applications, into a unified health dashboard. The Platform visualizes trends, calculates composite health scores, and identifies potential correlations across data sources to provide a longitudinal view of your health.

AI Health Advisor

The Platform includes a conversational AI-powered health advisor that allows you to ask questions about your health data and receive personalized, contextual responses. The AI Health Advisor provides general wellness information and educational content only. It does not provide medical advice, diagnosis, or treatment recommendations. See Section 6 for important limitations.

Supplement Marketplace

The Platform offers a curated supplement marketplace where AI-generated recommendations, based on your health profile, are displayed alongside third-party supplement products available for purchase. These recommendations are generated for informational and convenience purposes only and do not constitute medical prescriptions or clinical guidance.

Physician Matching

The Platform facilitates connections between users and independent licensed healthcare practitioners. Veris Health is a technology facilitator and does not itself employ physicians or provide medical care. See Section 10 for important details about this service.

Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, technical failures, or events outside our control. We will make reasonable efforts to provide advance notice of scheduled downtime. Veris Health reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Beta Features

Veris Health may offer features designated as "beta," "preview," or "experimental." These features are offered as-is with no warranties, may contain errors, and may be modified or removed at any time. Your use of beta features is entirely at your own risk, and you should not rely on them for critical health decisions.

3.Important Medical Disclaimer

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS CRITICAL INFORMATION ABOUT THE LIMITATIONS OF THIS SERVICE.

Not a Medical Device

Veris Health is a consumer wellness and health information platform. It is not a medical device as defined by the U.S. Food and Drug Administration (FDA) or any analogous regulatory body. The Platform has not been reviewed, approved, cleared, or authorized by the FDA or any comparable authority for the purpose of diagnosing, treating, curing, mitigating, or preventing any disease or health condition.

Not Medical Advice

Nothing contained in or accessible through the Service — including health scores, biomarker visualizations, trend analyses, AI-generated insights, correlation indicators, supplement recommendations, physician match suggestions, or any other content — constitutes medical advice, clinical diagnosis, medical opinion, or a prescription. The Service is intended solely for educational and informational purposes.

Consult a Licensed Healthcare Provider

You must consult a qualified, licensed healthcare provider (such as a physician, nurse practitioner, or other credentialed clinician) before making any decisions about your health, including without limitation: starting, stopping, or modifying any medication, supplement, or treatment; interpreting laboratory results; and responding to any health alerts, scores, or recommendations displayed by the Service. Never disregard, delay, or avoid seeking professional medical advice based on anything you read, see, or experience on this Platform.

Medical Emergencies

In the event of a medical emergency, call 911 (United States) or your local emergency services immediately. Do not rely on Veris Health or attempt to contact Veris Health support in a medical emergency. The Service is not equipped to handle emergency situations and does not monitor your health in real-time.

No Therapeutic Relationship

Use of the Service does not establish a physician-patient relationship, therapist-client relationship, or any other type of healthcare provider-patient relationship between you and Veris Health, Inc., or between you and any of Veris Health's employees, officers, contractors, or agents.

Accuracy of Health Data

Health scores, composite metrics, and AI-generated insights are derived from algorithms and aggregated data. They are approximations and may not accurately reflect your true physiological state. Wearable sensors, at-home lab kits, and self-reported data all carry inherent inaccuracies. Do not make medical decisions based solely on data presented by this Platform.

User Acknowledgment

By using the Service, you expressly acknowledge and agree that: (a) you have read and understand this medical disclaimer in its entirety; (b) you will not use the Service as a substitute for professional medical advice, diagnosis, or treatment; and (c) your use of the Service is entirely at your own risk.

4.Account Registration and Security

Account Creation

To access the core features of the Service, you must create an account by providing accurate, current, and complete information as prompted by the registration process. You agree to maintain the accuracy of your registration information and to promptly update it if any information changes. Providing false, misleading, or incomplete information may result in the immediate suspension or termination of your account.

One Account Per Person

Each individual may maintain only one active Veris Health account. Creating multiple accounts to circumvent access restrictions, subscription limitations, or account suspensions is prohibited and constitutes a material breach of these Terms.

Password Security and Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to: (a) choose a strong, unique password not used on any other service; (b) keep your password strictly confidential and not share it with any third party; (c) notify Veris Health immediately at support@verishealth.com if you suspect any unauthorized use of your account or any security breach; and (d) sign out of your account at the end of each session, particularly on shared devices.

Veris Health will not be liable for any loss or damage arising from your failure to comply with the foregoing obligations or from any unauthorized access to your account that results from your actions or omissions. You are fully responsible for all activities that occur under your account, whether or not authorized by you.

Session Security

For your security, and consistent with our HIPAA compliance obligations, active sessions automatically expire after 15 minutes of inactivity. You will be prompted to re-authenticate to continue using the Service. You acknowledge this behavior and agree not to hold Veris Health liable for any inconvenience or data loss arising from session expiration.

Account Suspension and Termination by Veris Health

Veris Health reserves the right, in its sole discretion, to suspend or terminate your account at any time for any reason, including but not limited to: violation of these Terms; suspected fraudulent, abusive, or illegal activity; requests from law enforcement or regulatory bodies; extended periods of account inactivity (greater than 24 months); or discontinuation of the Service. Where practicable and not prohibited by law, Veris Health will provide reasonable advance notice prior to account suspension or termination.

Account Inactivity

If your account has been inactive for a continuous period of 24 months, Veris Health may send a notice to your registered email address informing you of the potential deactivation of your account. If you do not respond and take action within 30 days of such notice, Veris Health may deactivate your account and schedule your data for deletion pursuant to our data retention policy. You will have an opportunity to export your data before deletion occurs.

5.Health Data and Privacy

The collection, use, storage, and protection of your health data is governed by our Privacy Policy, which is incorporated into these Terms by reference. The following provisions supplement the Privacy Policy with respect to your rights regarding your health data.

HIPAA Compliance Commitment

Veris Health is committed to complying with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations, including the HIPAA Privacy Rule (45 CFR Part 164, Subpart E) and Security Rule (45 CFR Part 164, Subparts A and C), as applicable to a health technology platform. We implement administrative, physical, and technical safeguards designed to protect the confidentiality, integrity, and availability of your electronic Protected Health Information (ePHI).

Data Ownership

You own your health data. Veris Health does not claim ownership of the health information you provide to or generate through the Service, including uploaded laboratory results, wearable device data, nutrition logs, and manually entered health information. By providing your data to the Service, you grant Veris Health a limited, non-exclusive, revocable license to process, store, and analyze your data solely for the purposes described in these Terms and our Privacy Policy.

Data Export

You have the right to export a complete copy of your health data at any time through the Settings section of the Platform ("Settings → Data Export"). Exported data will be provided in a machine-readable format. Veris Health will process export requests within a reasonable time, not to exceed 30 days.

Data Deletion

You have the right to delete your account and all associated health data at any time through the Settings section ("Settings → Delete Account"). Upon account deletion, Veris Health will permanently and irreversibly remove your personal data and health information from active systems within 30 days, subject to limited exceptions for data we are legally required to retain (such as HIPAA audit logs, which are retained for 7 years as required by law). Anonymized, aggregated data that cannot reasonably be used to identify you may be retained indefinitely.

Data Encryption

Veris Health encrypts all Protected Health Information at rest using AES-256-GCM encryption and in transit using TLS 1.3. Encryption keys are stored separately from the encrypted data and are rotated regularly. No PHI is stored in plaintext, included in URLs, included in push notifications, or written to application logs.

No Sale of Health Data

Veris Health does not sell, rent, or trade your personal health information to any third party. We may share de-identified, aggregated data for research, analytics, or product improvement purposes, but such data will not be attributable to you individually. You may opt out of contributing to anonymous research through your account settings.

Business Associate Agreements

Veris Health enters into Business Associate Agreements (BAAs) with all third-party service providers that process your Protected Health Information on our behalf, as required under HIPAA. A list of current BAA partners is maintained in our Privacy Policy.

6.AI Health Advisor

The AI Health Advisor is a conversational AI feature powered by Anthropic's Claude language model. It is designed to provide general health education, help you understand your data, and answer questions about wellness topics in the context of your personal health profile.

Not a Substitute for Medical Care

The AI Health Advisor does not provide medical advice, diagnosis, or treatment recommendations. Responses from the AI Health Advisor are for informational and educational purposes only. No communication with the AI Health Advisor creates a physician-patient relationship of any kind. You must always consult a qualified, licensed healthcare professional for medical decisions.

AI Limitations and Potential Inaccuracies

You acknowledge that AI-generated content may be inaccurate, incomplete, misleading, or out of date. Large language models can produce "hallucinations" — plausible-sounding but factually incorrect statements. Veris Health does not warrant the accuracy, completeness, or reliability of any AI-generated content. You are solely responsible for independently verifying any information provided by the AI Health Advisor before relying on it in any way.

Health Context Sharing

To provide personalized responses, the AI Health Advisor incorporates a system prompt that includes relevant context from your health profile, such as recent biomarker values, wearable data averages, and nutrition summaries. By using the AI Health Advisor, you consent to this contextualization of your health data. This context is transmitted to Anthropic's API for processing, subject to any BAA we have in place with Anthropic.

Conversation Storage and Encryption

Your conversations with the AI Health Advisor are stored in encrypted form in our database and may be retained for up to 90 days by default, after which they are automatically purged. You can adjust your chat history retention period or manually clear your chat history at any time through your account settings. Conversations are never used to train AI models, either by Veris Health or by Anthropic, consistent with Anthropic's API usage policies.

Opt-Out of AI Data Analysis

If you prefer that your health data not be included as context in AI Health Advisor conversations, you may disable this feature in "Settings → Privacy → AI Data Analysis." When this feature is disabled, the AI Health Advisor will respond without access to your personal health data and will provide only general, non-personalized wellness information.

Prohibited Uses of the AI Advisor

You agree not to use the AI Health Advisor to: (a) seek emergency medical guidance (call 911 instead); (b) obtain prescriptions or diagnoses; (c) discuss, plan, or engage in self-harm, eating disorders, or other dangerous health behaviors; or (d) attempt to manipulate the AI into providing advice that violates these Terms. Veris Health may terminate access to the AI Health Advisor at any time for violations of these guidelines.

7.Wearable Device Integrations

The Service supports integration with third-party wearable devices and health platforms, including Oura, WHOOP, Apple Health, Google Fit, and others as made available from time to time. These integrations are subject to the following terms.

Third-Party Platform Terms

Connecting a wearable device or third-party health platform to Veris Health constitutes your authorization for us to access, retrieve, and process the data available through that platform's API. Your use of third-party platforms is governed by their respective terms of service and privacy policies, which are separate from these Terms and to which Veris Health is not a party. You are responsible for reviewing and complying with third-party platform terms.

Data Accuracy Disclaimer

Veris Health does not warrant the accuracy, completeness, or reliability of data received from third-party wearable devices or platforms. Consumer-grade wearable sensors are not medical-grade instruments and may produce readings that differ materially from clinical measurements. Metrics such as heart rate variability, blood oxygen saturation, caloric expenditure, and sleep stage data are estimates generated by proprietary algorithms and should not be interpreted as clinical measurements. Do not make health or treatment decisions based solely on wearable data displayed in the Platform.

No Liability for Device Malfunctions

Veris Health is not responsible for: (a) malfunctions, inaccuracies, or data loss from third-party wearable devices; (b) interruptions to third-party APIs or data sync services; (c) loss or corruption of historical data due to changes in third-party platform capabilities; or (d) any health consequences arising from inaccurate or delayed wearable data.

OAuth Access and Revocation

Wearable device connections are established via industry-standard OAuth 2.0 protocols. Your OAuth access and refresh tokens are stored in encrypted form in our database. You may revoke any wearable integration at any time through the "Integrations" section of your account settings, which will delete all stored tokens and cease future data retrieval from that device. Revocation does not delete historical data already imported into the Platform; you must separately request data deletion if desired.

Data Sync Delays

Wearable data is synchronized on a scheduled basis (typically every few hours) and is subject to delays caused by connectivity issues, third-party API rate limits, or scheduled maintenance windows. Real-time health monitoring is not a feature of this Service, and you should not rely on it for time-sensitive health decisions.

8.Lab Result Upload and Processing

The Service enables you to upload laboratory results in PDF or image format, from which the Platform automatically extracts biomarker values using AI-powered optical character recognition and natural language processing.

Automated Extraction Disclaimer

Automated lab result extraction is an approximate process and may contain errors. Factors that may affect extraction accuracy include: poor image quality or scan resolution, non-standard lab report formats, handwritten annotations, ambiguous abbreviations, units of measurement variations between laboratories, and OCR limitations. Veris Health does not warrant the accuracy of automatically extracted values.

Your Responsibility to Verify Extracted Data

You are solely responsible for reviewing and verifying all automatically extracted biomarker values against your original laboratory report before confirming them in the Platform. By confirming extracted values, you represent that you have reviewed them for accuracy. Veris Health strongly encourages you to compare extracted values with your original lab report immediately following upload.

Clinical Interpretation Required

Laboratory results must be reviewed and interpreted by a qualified healthcare provider in the context of your full clinical picture, including symptoms, medical history, current medications, and other relevant factors. Reference ranges displayed in the Platform are for general population guidance only and may not be appropriate for your individual circumstances. Abnormal values indicated by the Platform are not diagnoses and must be evaluated by a licensed healthcare provider.

Data Storage and Security

Uploaded lab result documents and extracted biomarker data are classified as Protected Health Information (PHI) and are stored with AES-256-GCM encryption at rest. Access to lab data is restricted to your authenticated account and is subject to HIPAA-compliant access controls and audit logging.

Prohibited Uploads

You agree to upload only laboratory results belonging to you. Uploading lab results belonging to another individual (other than a minor for whom you have legal guardianship, where applicable) without their explicit consent is strictly prohibited and constitutes a violation of these Terms. Veris Health is not responsible for results uploaded in violation of this provision.

9.Marketplace and Supplements

The Veris Health Marketplace offers dietary supplements and wellness products available for purchase through third-party fulfillment partners. The following terms govern your use of the Marketplace.

Third-Party Fulfillment

Veris Health does not manufacture, warehouse, ship, or fulfill supplement orders. All fulfillment is handled by third-party partners. Veris Health acts as a facilitator of supplement discovery and purchasing and is not a retailer of dietary supplements. Product descriptions, ingredient lists, certifications, and other information displayed on the Marketplace are provided by or sourced from product manufacturers and distributors, and Veris Health does not independently verify their accuracy.

Supplement Recommendations Disclaimer

Supplement recommendations displayed in the Marketplace are generated by AI algorithms based on patterns in your health data. These recommendations are for general informational and convenience purposes only. They are not medical prescriptions, clinical recommendations, or endorsements by any healthcare provider. Dietary supplements have not been evaluated by the FDA for their ability to diagnose, treat, cure, or prevent any disease or health condition. Before beginning any supplement regimen, you should consult your healthcare provider to assess potential interactions with medications, medical conditions, and other supplements.

Adverse Reactions

Veris Health is not responsible for adverse reactions, allergic responses, side effects, or health consequences arising from the use of supplements purchased through or recommended by the Marketplace. If you experience an adverse reaction to any supplement, discontinue use immediately and seek appropriate medical attention. You acknowledge that you have assumed all risk associated with the purchase and consumption of dietary supplements.

Pricing and Availability

All prices displayed in the Marketplace are subject to change without notice. Veris Health reserves the right to modify, suspend, or discontinue any product listing at any time. Product availability is subject to third-party fulfillment partner inventory and may vary by region.

Refunds and Returns

Refund and return policies for Marketplace purchases are governed by the policies of the applicable third-party fulfillment partner, which will be displayed at the time of purchase. Veris Health does not accept product returns directly and is not responsible for facilitating refunds for physical goods. For issues with a Marketplace order, contact the fulfillment partner directly; if you are unable to resolve an issue, please contact us at support@verishealth.com and we will use reasonable efforts to assist.

Supplement Protocol Feature

The Platform may offer a "Supplement Protocol" or similar feature that allows you to organize and track a regimen of supplements. This feature is for organizational and tracking purposes only. A supplement protocol generated or displayed by the Platform is not a personalized medical treatment plan and should not be treated as such. Consult your healthcare provider before starting any structured supplement protocol.

10.Physician Matching and Consultations

Veris Health provides a physician matching feature designed to help users find independent licensed healthcare practitioners who may be relevant to their health profile and goals. The following terms govern this feature.

Independent Practitioners Only

Physicians, nurse practitioners, and other healthcare professionals listed or matched through the Service are independent practitioners operating their own practices. They are not employees, agents, contractors, or representatives of Veris Health, Inc. Veris Health does not supervise, employ, control, or direct the medical practices or clinical decisions of any listed practitioner.

Technology Facilitator

Veris Health facilitates introductions between users and independent healthcare practitioners. Any subsequent relationship, including consultations, diagnoses, prescriptions, treatment plans, or ongoing care, is exclusively between the user and the practitioner. Veris Health is not a party to the physician-patient relationship that may arise from a match.

Credential Verification Disclaimer

Veris Health displays credential information provided by practitioners, including licensure, board certifications, and areas of specialization. However, Veris Health does not independently verify the current validity of any practitioner's license, board certification, malpractice history, or disciplinary record. You are responsible for independently verifying that any practitioner you choose to consult holds a valid, current license in the relevant jurisdiction. You can verify physician licensure through your state medical board or the appropriate regulatory authority.

Consultation Fees

Consultation fees, if any, are set entirely by individual practitioners and are not established by Veris Health. Fee information displayed on the Platform is provided by practitioners and is subject to change. Veris Health is not responsible for any billing disputes between users and practitioners.

No Liability for Practitioner Actions

Veris Health is not liable for any act, omission, negligence, misconduct, or error by any practitioner listed or matched through the Service. Veris Health makes no warranties, express or implied, regarding the competence, conduct, or quality of care of any practitioner. Your choice to engage with any practitioner is made at your sole risk and judgment.

11.Subscription and Billing

Subscription Tiers

Veris Health offers the following subscription tiers, as available from time to time:

Payment Processing

All payment processing for paid subscriptions is handled by Stripe, Inc., a third-party payment processor. By providing your payment information, you agree to Stripe's terms of service and privacy policy. Veris Health does not store your complete payment card information on its servers. Payment information is transmitted directly to Stripe in compliance with the Payment Card Industry Data Security Standard (PCI DSS).

Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) until cancelled. You authorize Veris Health to charge your payment method on file for the applicable subscription fee at the start of each renewal period. You will receive a reminder notice before your subscription renews if the renewal represents a material change in charges.

Cancellation Policy

You may cancel your paid subscription at any time through your account settings ("Settings → Subscription → Cancel Plan") or by contacting support@verishealth.com. Cancellation is effective at the end of the current billing period. You will continue to have access to paid features until the end of the billing period for which you have already paid. Your account will automatically downgrade to the Free tier at the end of the cancelled period, and your health data will be retained.

No Refunds for Partial Periods

Veris Health does not provide refunds for partial billing periods. If you cancel your subscription mid-period, you will not receive a refund for the unused portion of that period. If you believe a charge was made in error, contact us at support@verishealth.com within 30 days of the charge, and we will review your request in good faith. Notwithstanding the foregoing, nothing in this section limits any rights you may have under applicable consumer protection laws in your jurisdiction.

Price Changes

Veris Health reserves the right to modify subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase via email to your registered address. Your continued use of a paid subscription after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to a price change, you must cancel your subscription before the change takes effect.

Taxes

Subscription fees are exclusive of all applicable taxes, levies, and duties imposed by taxing authorities. You are responsible for paying any applicable taxes associated with your subscription. Where required by law, Veris Health will collect and remit applicable taxes on your behalf and will include them on your invoice.

Failed Payments

If a subscription payment fails, Veris Health may attempt to collect payment using an alternate payment method on file. If payment cannot be collected after reasonable attempts, your account may be automatically downgraded to the Free tier. You will be notified of failed payments via email and given an opportunity to update your payment information to restore access.

12.Intellectual Property

Veris Health's Intellectual Property

The Service and all content, features, functionality, technology, design, source code, software, algorithms, health score models, visual design, trademarks, service marks, logos, and other intellectual property embodied in or associated with the Service are owned by Veris Health, Inc. or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret law.

License to Use the Service

Subject to your compliance with these Terms, Veris Health grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial health management purposes. This license does not include any rights to: (a) reproduce, modify, create derivative works from, or distribute any content from the Service; (b) publicly display or perform the Service; (c) sublicense the Service to any third party; or (d) use the Service in any manner not expressly permitted by these Terms.

Your Health Data

You retain all ownership rights in the health data, content, and information you provide to or generate through the Service ("User Data"). By providing User Data to the Service, you grant Veris Health a limited, worldwide, royalty-free, non-exclusive license to use, copy, store, transmit, and process your User Data for the sole purpose of providing and improving the Service to you. This license does not extend to: (a) selling your User Data to third parties; (b) using individually identifiable User Data for advertising purposes; or (c) sharing identifiable User Data beyond what is described in our Privacy Policy.

Restrictions

You agree not to, and will not permit or assist any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service; (b) access the Service by any means other than the interfaces we provide; (c) use automated means, including bots, scrapers, or crawlers, to access the Service; (d) frame or mirror any portion of the Service without our express written consent; or (e) use the Service to develop a competing product or service.

Feedback

If you submit ideas, suggestions, feature requests, or other feedback regarding the Service ("Feedback"), you grant Veris Health a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, implement, modify, and commercialize the Feedback for any purpose without restriction and without obligation to compensate you.

13.User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following conduct is expressly prohibited:

  • Illegal Use: Using the Service in violation of any applicable federal, state, local, or international law or regulation.
  • Unauthorized Access: Attempting to gain unauthorized access to any part of the Service, other users' accounts, our systems, or our service providers' systems.
  • Service Interference: Interfering with or disrupting the integrity, performance, or availability of the Service, including by transmitting excessive volumes of requests, introducing malicious code, or circumventing security controls.
  • Data Misuse: Accessing, collecting, or using health data belonging to other users without their explicit, informed consent.
  • False Information: Providing false, misleading, or inaccurate information to the Service or to other users, including misrepresenting your identity or health data.
  • Malicious Content: Uploading or transmitting viruses, malware, ransomware, or other harmful code or content.
  • Harassment: Using the Service to harass, threaten, or intimidate any person.
  • Commercial Misuse: Using the Service for commercial purposes, including reselling access, scraping data for commercial use, or operating the Service on behalf of paying third parties, without Veris Health's written consent.
  • Circumventing Restrictions: Using the Service in a manner designed to circumvent subscription restrictions, access controls, or geographic limitations.
  • Impersonation: Impersonating any person or entity, including Veris Health employees, physicians, or other users.

Veris Health reserves the right to investigate and take appropriate action against any person it believes to be in violation of these conduct standards, including suspending or terminating accounts and referring matters to law enforcement authorities where appropriate.

14.Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERIS HEALTH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF HEALTH INSIGHTS, AI-GENERATED CONTENT, BIOMARKER DATA, OR OTHER INFORMATION OBTAINED THROUGH THE SERVICE; AND WARRANTIES REGARDING ANY HEALTH OUTCOMES ARISING FROM YOUR USE OF THE SERVICE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERIS HEALTH, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; PHYSICAL, EMOTIONAL, OR PSYCHOLOGICAL HARM; PERSONAL INJURY OR DEATH; COSTS OF SUBSTITUTE SERVICES; OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF VERIS HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Aggregate Liability Cap

To the fullest extent permitted by applicable law, Veris Health's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Service shall not exceed the greater of: (a) the total fees paid by you to Veris Health in the 12-month period immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100.00).

Health Outcome Disclaimer

Veris Health is not liable for any health outcome — positive or negative — arising from your use of or reliance on any content, feature, or recommendation provided by the Service. This includes but is not limited to: health consequences of relying on AI-generated insights; adverse reactions to supplements purchased through the Marketplace; outcomes of consultations with physicians matched through the Service; and consequences of misinterpreting lab results or wearable data.

Third-Party Service Interruptions

Veris Health is not liable for any loss or damage caused by interruptions, inaccuracies, or discontinuations of third-party services integrated with the Platform, including wearable device APIs (Oura, WHOOP, Apple Health, Google Fit), nutrition data providers (MyFitnessPal, Nutritionix), payment processors (Stripe), cloud infrastructure providers (Vercel, Neon), or AI model providers (Anthropic).

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

15.Indemnification

You agree to defend, indemnify, and hold harmless Veris Health, Inc. and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Service in violation of these Terms;
  • Any User Data you submit, provide, or transmit through the Service, including any claims that such data infringes, misappropriates, or violates the rights of any third party;
  • Your violation of any applicable law, regulation, or the rights of any third party, including privacy rights;
  • Your reliance on AI-generated insights, health scores, or supplement recommendations in a manner inconsistent with these Terms;
  • Any false or misleading information you provide through the Service; or
  • Your interactions with any practitioner matched through the physician matching feature.

Veris Health reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with Veris Health in asserting available defenses. You will not settle any matter subject to indemnification without Veris Health's prior written consent.

16.Termination

Termination by You

You may terminate your account and these Terms at any time by deleting your account through "Settings → Delete Account" or by contacting us at support@verishealth.com. Termination of your account does not entitle you to a refund of any prepaid subscription fees for the current billing period.

Termination by Veris Health

Veris Health may immediately suspend or terminate your access to the Service, with or without prior notice, if: (a) you breach any provision of these Terms; (b) you engage in fraudulent, abusive, or illegal activity; (c) continued provision of the Service to you would violate applicable law or expose Veris Health to legal risk; (d) you fail to pay applicable fees; or (e) Veris Health discontinues the Service in whole or in part. Where practicable and not legally prohibited, Veris Health will provide reasonable advance notice of termination.

Data Upon Termination

Upon account termination or deletion, Veris Health will: (a) immediately revoke your access to the Service; (b) provide you with a 30-day window during which you may request a full data export at no charge; (c) permanently and irreversibly delete your personal health data from active production systems within 30 days of the expiration of the export window; and (d) retain only data required by law (such as HIPAA audit logs, which are retained for a minimum of 7 years, and payment records required by financial regulations). Anonymized, aggregated, non-identifiable data may be retained indefinitely.

If your account is terminated by Veris Health for a material violation of these Terms, the 30-day export window may be reduced or waived at Veris Health's discretion, subject to applicable law.

Survival

The following provisions survive termination of these Terms: Section 3 (Medical Disclaimer), Section 5 (Health Data and Privacy, with respect to data retained by law), Section 12 (Intellectual Property, with respect to Feedback and restrictions), Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 17 (Dispute Resolution), Section 19 (General Provisions), and any other provisions that by their nature should survive termination.

17.Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact Veris Health at legal@verishealth.com and attempt to resolve the dispute informally. Veris Health will attempt to resolve the dispute within 30 days of receiving written notice. This informal resolution requirement is a prerequisite to initiating arbitration or litigation.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service ("Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, except as modified by this Section. The arbitration shall be conducted in Wilmington, Delaware, or, if you prefer and the AAA permits, by videoconference or telephone.

The arbitrator shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of these Terms, including whether a particular claim is subject to arbitration. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND VERIS HEALTH EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator determines that the class action waiver in this section is void or unenforceable for any reason, or that arbitration can proceed on a class basis, then the arbitration provision shall be deemed void and of no further effect, and any Dispute shall be resolved by litigation in court pursuant to the governing law section below.

Exceptions

Notwithstanding the arbitration provision above, either party may: (a) bring a claim in a small claims court of competent jurisdiction, provided the claim qualifies and remains in small claims court; (b) seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or to address imminent harm; or (c) bring a claim as required by applicable law that cannot be waived by contract.

Governing Law

These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any claim not subject to arbitration, you and Veris Health consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

Time Limitation on Claims

You agree that any claim or cause of action arising out of or related to these Terms or your use of the Service must be filed within one (1) year after the claim or cause of action arose. Any claim not filed within this one-year period is permanently barred. This limitation applies to the fullest extent permitted by applicable law.

18.Changes to These Terms

Veris Health reserves the right to modify these Terms at any time. We will provide notice of material changes by: (a) sending an email to your registered email address at least 30 days before the changes take effect; (b) displaying a prominent notice on the Platform; and (c) updating the "Last Updated" date at the top of this page.

For non-material changes (such as corrections to typographical errors, clarifications that do not alter your substantive rights, or updates to contact information), we may update the Terms without advance notice beyond updating the "Last Updated" date.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Service and may delete your account at any time. We recommend that you review the Terms periodically for any changes.

19.General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated herein by reference, constitute the entire agreement between you and Veris Health with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Waiver

No failure or delay by Veris Health in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without the prior written consent of Veris Health. Veris Health may freely assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, provided that the acquiring entity agrees to be bound by these Terms.

Force Majeure

Veris Health will not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemic, governmental actions, third-party service outages (including cloud infrastructure providers), and internet connectivity failures.

No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties and their respective permitted successors and assigns. Nothing in these Terms, express or implied, is intended to or shall confer on any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

Notices

Veris Health may provide notices to you via email to your registered email address, via in-app notification, or by posting on the Platform. You may provide notices to Veris Health by contacting us at the addresses listed in Section 20. Notices sent by email are deemed received when transmitted; notices sent by mail are deemed received three business days after mailing.

Export Compliance

You agree to comply with all applicable U.S. and international export control and trade sanctions laws and regulations in connection with your use of the Service. You represent and warrant that you are not located in, under the control of, or a national or resident of any country against which the United States has imposed comprehensive economic sanctions.
